Terms of Use

In this Agreement the following terms have the following meanings unless the context requires otherwise:

"Agreement" means the agreement between You and Us incorporating these terms and conditions for the provision of the Service, as amended from time to time in the manner set forth herein;

"We, Us, Our" means the Company; and

“Website” means DontGoAlone.com, and

“Members” means current subscribers to DontGoAlone.com, and

"You, Your, Yourself" means the person who registers for the Service, accepts the terms and conditions of this Agreement and whose application for membership of the Service is accepted by Us.

This legal agreement ("Agreement") is made between You and Us. This Agreement, as it may be amended from time to time, applies to all users of the Company's website.

You may not use the Service if you are under the age of 18 or you are not able to form legally binding contracts, or if your membership has been suspended by Us. Please read this Agreement carefully before registering for the Service. By registering for the Service, You become a Company member (a "Member"), and You agree to be bound by the terms and conditions of this Agreement for as long as You continue to be a Member. IF YOU DO NOT AGREE WITH THE TERMS AND CONDITIONS OF THIS AGREEMENT, DO NOT REGISTER FOR THE SERVICE. THE TERMS AND CONDITIONS OF THIS AGREEMENT ARE SUBJECT TO CHANGE BY US AT ANY TIME, EFFECTIVE UPON NOTICE TO YOU, WHICH NOTICE SHALL BE DEEMED TO HAVE BEEN PROVIDED UPON OUR POSTING OF THE CURRENT VERSION OF THIS AGREEMENT ON THE SERVICE.

ELIGIBILITY: MINORS MAY NOT BECOME MEMBERS. By becoming a Member, You represent and warrant that You are at least 18 years old. By using the Service, You represent and warrant that You have the right, authority and capacity to enter into this Agreement and to abide by the terms and conditions of this Agreement. Your membership for the Service is for Your sole, personal use. You may not authorize others to use Your membership, and You may not assign or otherwise transfer Your account to any other person or entity.

REGISTRATION AND SUBSCRIPTION: Following an initial free registration period, for which the length of such period will be determined by Us, if You wish to continue to use the Service to initiate communication with other members and use certain other elements of the Service, You must become a Subscriber and pay the fees that are set out in Our price list. Notification of subscriber fees will be posted on the site and you will have 30 days to register with the service based on Our price list. This price list is part of this Agreement and We reserve the right, at any time, to change any fees or charges for using the Service. To become a Member, You must register for the Service. When and if You register to become a Member, You agree to provide accurate, current and complete information about Yourself as prompted by Our registration form ("MyProfile Data"), and to maintain and update Your information to keep it accurate, current and complete. You agree that We may rely on Your MyProfile Data as accurate, current and complete. You acknowledge that if Your MyProfile Data is untrue, inaccurate, not current or incomplete in any respect, We may terminate this Agreement and Your use of the Service and, in such event, You shall not be entitled to a refund of any unused subscription fees. Although we aim to verify the accuracy of the information provided by Our Members, We do not verify information in profiles, and We have no control over, do not guarantee, and are not responsible for the quality, truth, accuracy, legality or safety of Our Members.

Modifications to Service. DontGoAlone.com reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that DontGoAlone.com shall not be liable to you or to any third party for any modification, suspension or discontinuation of the Service.

Member ID and Password. As part of the member registration process, you will be asked to select a user name (“UserName”) and password. We may refuse to accept any UserName for any reason, including that the proposed UserName impersonates someone else, is or may be illegal, is or may be protected by trademark or otherwise infringes on other proprietary rights, is vulgar or otherwise offensive, or may cause confusion, as we determine in our sole discretion. You agree not to transfer or resell your use of or access to the Site to any third party. If you have reason to believe that your account is no longer secure, you must promptly change your password by updating your account information, available at the 'My Profile' Page after logging on to DontGoAlone.com, and immediately notify us by emailing us at customercare@dontgoalone.com. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR MEMBER ID (USERNAME) AND PASSWORD AND FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

Auto-Renewal Policy. To ensure you enjoy uninterrupted use of the Service, your membership will be automatically extended for successive renewal periods of the same duration as the subscription term originally selected, at the then current non-promotional subscription rate. You may notify us of your desire to change your Automatic Renewal after purchase by emailing Us at customercare@dontgoalone.com. Additionally, you may terminate your membership at any time, for any reason, by following the Cancel Account instructions on the FAQ page, or on receipt by DontGoAlone.com of your notice of termination by email, fax or mail. Following cancellation, you will continue to have full access to your membership for the remainder of the term for which you have paid, provided you otherwise are in compliance with this Agreement. Refunds will not be issued for early cancellation.

By providing us with your payment information, you authorize and instruct us to bill your credit card account for the amount of your initial subscription fee, and to bill that account again each time that the current term of your subscription is about to expire in the future. If at any time you want to change your subscription rate, please make appropriate changes in the Account Information section, located under the My Profile tab or email your desire to Us at customercare@dontgoalone.com.

Payment Method. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, credit card issuer or other provider of your chosen Payment Method (the "Payment Method Provider"). If DontGoAlone.com does not receive payment from your Payment Method Provider, you agree to pay all amounts due on your Billing Account upon demand.

Reaffirmation of Authorization. Your non-termination or continued use of the Service reaffirms that DontGoAlone.com is authorized to charge your Payment Method.

Unauthorized Use. The Website and the Service are for the personal use of individuals only, for purposes consistent with the Website and Service and this Agreement. You may not use the Website or Service in connection with any commercial or group activities or resell the Service. Organizations, companies or businesses may not become Members and may not use the Service or the Website for any purpose. Collecting Member IDs or email addresses of members, or other information on the Website, by electronic or other means, is prohibited. Framing of or linking to the Website without written permission from us is prohibited.

YOUR USE OF THE SERVICE: As a Member, You agree that:

Content Posted on the Site.

You are solely responsible for any materials (including profiles or photos) and messages (collectively, "Content") that you publish or display (hereinafter, "post") on the Website or via the Service, or transmit to other Members.

By posting Content to any public area of DontGoAlone.com, you automatically grant, and you represent and warrant that you have the right to grant, to DontGoAlone.com an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, distribute and sell such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sublicenses of the foregoing.

You understand and agree that DontGoAlone.com may review and remove any Content that in the sole judgment of DontGoAlone.com violates this Agreement or which, in the sole discretion of DontGoAlone.com, might be offensive or illegal or might violate the rights of, harm, or threaten the safety of Members.

The following is a partial list of the kind of Content that is prohibited on the Website. DontGoAlone.com reserves the right to investigate and take appropriate action in its sole discretion (including notifying legal authorities) against anyone who violates this provision, including without limitation, removing the offending communication from the Website and terminating the membership of such violators. It includes Content that:

• may be offensive to Website users, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;

• harasses or advocates harassment of another person;

• involves the transmission of "junk mail," "chain letters" or unsolicited mass mailing or "spamming";

• promotes information that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous;

• promotes or enables unauthorized copying of another person's copyrighted or other proprietary work, such as providing computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing music or links to music files;

• contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page);

• exploits anyone in a sexual or violent manner;

• solicits personal information from anyone under 18;

• provides instructional information about illegal or potentially harmful activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses;

• solicits passwords or personal identifying information for commercial, unauthorized or unlawful purposes from other users;

• engages in commercial activities and/or sales such as contests, sweepstakes, barter, advertising, and pyramid schemes; or

• otherwise is inappropriate for the Website, in DontGoAlone.com’s sole judgment.

You must use the Website and the Service in a manner consistent with any and all applicable laws and regulations.

You may not include in your MyProfile any URLs.

You may not engage in advertising to, or solicitation of, other Members to buy or sell any products or services through the Service. You may not transmit any chain letters or junk email to other Members. Although DontGoAlone.com cannot monitor the conduct of its Members off the Website, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, DontGoAlone.com reserves the right to restrict the number of emails that a Member may send to other Members in any 24-hour period to a number which DontGoAlone.com deems appropriate in its sole discretion.

Indemnity by You. You agree to defend, indemnify and hold DontGoAlone.com, its subsidiaries, affiliates, officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any other party due to or arising out of your use of the Service in breach of this Agreement and/or arising from a breach of this Agreement by you and/or any breach of your representations and warranties set forth above.

Member Disputes. You are solely responsible for your interactions with other DontGoAlone.com Members. Don’t Go Alone, LLC reserves the right, but has no obligation, to monitor disputes between you and other Members, arising from or related to the Website.

Intellectual Property. All intellectual property rights in and to the Service are and shall be owned by Us, absolutely. Those rights include, but are not limited to, database rights, copyright, design rights (whether registered or unregistered), patents, trademarks (whether registered or unregistered) and other similar rights, wherever existing in the world, together with the right to apply for protection of the same. All other trademarks, logos, service marks, company or product names set forth in the Service are the property of their respective owners.

Privacy. Use of the Website and/or the Service is also governed by our Privacy Policy.

Disclaimers. DontGoAlone.com is not responsible for any incorrect or inaccurate Content posted on the Website or in connection with the Service, whether caused by DontGoAlone.com, users of the Website, Members, or by any of the equipment or programming associated with or utilized in the Service. DontGoAlone.com is not responsible for the conduct, whether online or offline, of any user of the Website or Member of the Service. DontGoAlone.com assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications. DontGoAlone.com is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to users and/or Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Internet and/or in connection with the Service. Under no circumstances will DontGoAlone.com or any of its affiliates, advertisers, promoters or distribution partners be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the Website or the Service, any Content posted on the Website or transmitted to Members, or any interactions between users of the Website, whether online or offline. The Website and the Service are provided "AS-IS" and DontGoAlone.com expressly disclaims any warranty of fitness for a particular purpose or non-infringement. DontGoAlone.com cannot guarantee and does not promise any specific results from use of the Website and/or the Service.

Although each member must agree to Our terms and conditions, We cannot guarantee that each member is at least the required minimum age, nor do we accept responsibility or liability for any content, communication or other use or access of the Service by persons under the age of 18 in violation of this Agreement. Also, it is possible that other members or users (including unauthorized users, or "hackers") may post or transmit offensive or obscene materials through the Service and that You may be involuntarily exposed to such offensive or obscene materials. It also is possible for others to obtain personal information about You due to Your use of the Service. Those others may use your information for purposes other than what You intended. We are not responsible for the use of any personal information that You disclose on the Service. Please carefully select the type of information that You post on the Service or release to others. WE DISCLAIM ALL LIABILITY, REGARDLESS OF THE FORM OF ACTION, FOR THE ACTS OR OMISSIONS OF OTHER MEMBERS OR USERS (INCLUDING UNAUTHORIZED USERS), WHETHER SUCH ACTS OR OMISSIONS OCCUR DURING THE USE OF THE SERVICE OR OTHERWISE.
